These Terms of Use (“Terms”) govern your access to and use of the Zotee mobile application, website and related services (together, the “Service”). The Service is operated by Kodex Bilgi Teknolojileri A.Ş. (“Kodex,” “Zotee,” “we,” “us” or “our”).
By downloading, accessing or using Zotee, you agree to these Terms. If you do not agree to these Terms, do not use the Service.
1. What Zotee does
Zotee is an AI Social Post Maker that helps Personal Profiles and Business/Company accounts create platform-ready social media posts with generated images, captions and hashtags.
In v1, Zotee supports Instagram and Facebook creation contexts. TikTok and X/Twitter may be shown as “Coming Soon.” Zotee’s initial publishing model is manual export/share and reminder scheduling. Auto-publishing is planned for a later version and should not be assumed unless it is expressly available in the app.
2. Eligibility
You must be at least 13 years old to use Zotee. If the law in your country requires a higher age to use online services or to consent to data processing, you must meet that higher age requirement. By using Zotee, you represent that you meet the applicable age requirement and that you have the legal capacity to agree to these Terms.
If you use Zotee on behalf of a company, organization or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.
3. Your account
You may need an account to use the Service. You agree to provide accurate, current and complete information, keep your login credentials secure and notify us promptly if you suspect unauthorized access.
In v1, one account uses one selected mode: Personal Profile or Business/Company. Multi-profile switching under one account is planned for a later version and may not be available in v1.
You are responsible for all activity under your account, including prompts, uploads, generated content, exports, reminders, purchases and support requests.
4. User content and uploaded materials
“User Content” means information, prompts, text, images, logos, Brand Kit assets, profile details, business details, uploaded images, style notes and other materials that you submit, upload or provide to Zotee.
You retain ownership of your User Content. You grant Zotee a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to host, store, copy, process, transmit, display, transform and otherwise use your User Content solely as necessary to provide, operate, secure, support and improve the Service, including to generate images, captions and hashtags.
You represent and warrant that you have all rights, permissions and lawful authority necessary to upload and use your User Content with Zotee, including any rights relating to logos, brand assets, product photos, people, locations, trademarks and third-party materials.
5. Generated content
Zotee may generate images, captions, hashtags and related output based on your prompt, optional uploaded image, selected platform, optional style, Personal Profile context or Business/Company context (“Generated Content”).
Subject to your compliance with these Terms and any applicable third-party terms, you may use Generated Content for your personal, business and marketing purposes. You are responsible for reviewing Generated Content before publishing or using it.
AI-generated outputs may be inaccurate, incomplete, offensive, unsuitable, similar to outputs generated for others, or inconsistent with your intended brand, legal obligations or advertising requirements. You must verify all claims, offers, prices, dates, product descriptions, regulated statements, hashtags, images, likenesses and third-party rights before use.
Zotee does not guarantee that Generated Content will be unique, error-free, legally compliant, non-infringing, platform-approved, high-performing or suitable for any specific purpose.
6. AI services and third-party providers
Zotee uses AI service providers to generate content. OpenAI is the primary AI provider for v1. The Zotee mobile app does not store or send OpenAI API keys directly; AI generation is handled through our backend systems.
When you request a generation, your prompt, optional uploaded image, selected platform, optional style and relevant Personal Profile or Business/Company context may be processed by third-party AI providers, cloud providers and other service providers as described in our Privacy Policy.
Third-party providers may have their own terms, policies and technical limitations. Zotee is not responsible for failures, delays, outages, policy changes, content refusals, model behavior or availability issues caused by third-party services.
7. Acceptable use
You agree not to use Zotee to create, upload, generate, store, share or publish content that:
- Violates any applicable law, regulation, court order, contract or third-party right.
- Infringes intellectual property, privacy, publicity, image, personality or confidentiality rights.
- Contains or promotes hate, harassment, threats, abuse, exploitation or unlawful discrimination.
- Contains sexual exploitation, child sexual abuse material, non-consensual intimate content or content involving minors in inappropriate contexts.
- Contains pornographic, explicit sexual or erotic content, including nudity, sexual acts, sexual services or imagery primarily intended to provoke sexual arousal.
- Uses Zotee to sexualize a real person, transform a person into sexualized imagery, remove clothing, create “nudify” style output or generate intimate imagery without clear consent.
- Promotes terrorism, violent extremism, self-harm, illegal drugs, illegal weapons or other unlawful activity.
- Is deceptive, fraudulent, misleading, defamatory or impersonates another person or business without authorization.
- Includes malware, phishing, spam, automated abuse, credential harvesting or attempts to interfere with the Service.
- Attempts to bypass safety systems, usage limits, credit rules, billing systems, access controls or platform restrictions.
- Uses Zotee to generate regulated professional advice, including legal, medical, financial or tax advice, without qualified human review.
Standard fashion, beauty, fitness, lingerie or swimwear content may be allowed when presented in a lawful, adult, tasteful retail, catalog, editorial or brand marketing context, without nudity, explicit sexual activity, sexualized poses, minors or non-consensual likeness use.
We may remove content, limit access, suspend accounts or take other action if we reasonably believe these Terms have been violated or that use of the Service creates legal, security, operational or reputational risk.
8. App stores, subscriptions, credits and purchases
Zotee may offer free trial credits, paid subscriptions and top-up credits through Apple App Store, Google Play or other approved billing systems. Pricing, taxes, renewal terms, billing periods and available products may vary by country, platform and time.
Purchases made through Apple App Store or Google Play are processed by Apple or Google, not directly by Zotee. Your purchase is also subject to the applicable app store terms, billing rules and refund policies.
Unless otherwise required by law or app store policy, payments are non-refundable and non-transferable. Refund requests for App Store or Google Play purchases may need to be submitted through Apple or Google.
Credits may be required to generate content. A successful generation may consume credits according to the in-app rules shown at the time of use. Failed technical generations should not consume credits, and we may restore or refund credits where our systems confirm a qualifying technical failure.
Free trial credits, promotional credits and top-up credits may expire, be limited to certain uses, be non-transferable and be subject to additional rules shown in the app.
9. Manual sharing, reminders and platform availability
In v1, Zotee focuses on manual export/share and reminder scheduling. Zotee does not guarantee automatic posting, publishing, scheduling to connected accounts or delivery to any social media platform unless an explicit auto-publishing feature is made available in the app.
You are responsible for complying with the terms, community guidelines, advertising rules, intellectual property rules and technical requirements of Instagram, Facebook and any other platform where you publish content.
Reminder notifications may depend on device settings, operating system behavior, network availability and push notification services. We do not guarantee that reminders will always be delivered at the exact requested time.
10. Intellectual property
Zotee, including the app, website, software, design, interface, logos, trademarks, brand assets, visual systems, text, graphics and other materials provided by us, is owned by Kodex or its licensors and is protected by intellectual property laws.
Except for the limited right to use the Service under these Terms, we do not grant you any rights in Zotee’s intellectual property. You may not copy, modify, distribute, sell, lease, reverse engineer or create derivative works based on the Service, except to the extent permitted by applicable law.
The names and logos of third-party platforms, such as Instagram, Facebook, TikTok, X, Apple and Google, belong to their respective owners. Zotee is not endorsed by or affiliated with those platforms unless expressly stated.
11. Feedback
If you provide feedback, ideas, suggestions or recommendations about Zotee, you grant us a perpetual, worldwide, irrevocable, royalty-free license to use them without restriction or compensation to you.
12. Privacy
Your use of Zotee is also governed by our Privacy Policy, which explains how we collect, use, store and share information.
13. Account deletion and termination
You may request account deletion as described in our Account Deletion page. Deleting your Zotee account may not automatically cancel App Store or Google Play subscriptions. You must manage subscriptions through your Apple or Google account settings.
We may suspend, restrict or terminate your access to the Service if we reasonably believe that you violated these Terms, created risk for the Service or other users, failed to pay applicable fees, used the Service unlawfully or caused operational, security or legal concerns.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive, including sections on User Content licenses, Generated Content responsibilities, payments, intellectual property, disclaimers, limitation of liability, indemnity, dispute terms and governing law.
14. Service changes and availability
Zotee is evolving. We may add, modify, suspend or discontinue features, platforms, pricing, credit rules, models, styles, generation limits, storage limits or the Service as a whole at any time. We may also impose usage limits to protect security, reliability, cost controls or product quality.
We do not guarantee that the Service will be uninterrupted, error-free, secure, available in every country or compatible with every device, operating system, app store or social media platform.
15. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability and suitability of generated content.
Zotee does not guarantee any social media performance, engagement, impressions, followers, sales, conversions, return on investment, platform approval or business outcome.
16. Limitation of liability
To the maximum extent permitted by law, Kodex, Zotee and their directors, officers, employees, contractors, affiliates, service providers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity or content, arising from or related to your use of the Service.
To the maximum extent permitted by law, our total liability for any claim arising from or related to the Service will not exceed the greater of: (a) the amount you paid to Zotee for the Service during the three months before the event giving rise to the claim; or (b) USD 50.
Some jurisdictions do not allow certain exclusions or limitations of liability. In those cases, the limitations above apply to the maximum extent permitted by applicable law.
17. Indemnity
To the extent permitted by law, you agree to defend, indemnify and hold harmless Kodex, Zotee and their directors, officers, employees, contractors, affiliates, service providers and licensors from and against any claims, damages, losses, liabilities, costs and expenses, including reasonable legal fees, arising from or related to: your use of the Service; your User Content; your Generated Content; your violation of these Terms; your violation of law; or your infringement of third-party rights.
18. App store terms
If you download Zotee from the Apple App Store or Google Play, your use of the app may also be subject to the applicable store terms, rules and license agreements. If there is a conflict between these Terms and mandatory app store terms, the mandatory app store terms will apply to the extent of the conflict.
For iOS users, unless a separate custom license agreement is provided through App Store Connect, Apple’s standard Licensed Application End User License Agreement may apply to your app download and use. Apple is not responsible for providing maintenance or support for Zotee unless required by applicable law.
19. Governing law and disputes
These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict of law rules, except where mandatory consumer protection laws in your country require otherwise.
Subject to any mandatory rights you may have under applicable consumer protection laws, the courts and enforcement offices of Istanbul, Türkiye will have jurisdiction over disputes arising from or related to these Terms or the Service.
20. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide notice through the app, website or other reasonable means. Your continued use of the Service after the updated Terms become effective means you agree to the updated Terms.
